13. Defects as to Quality (Warranty)
Subsequent performance. Unify shall, at its discretion, have the right to repair, replace or provide again free of
charge parts or services (“subsequent performance” or Nacherfüllung) showing a defect as to quality within the
limitation period which already existed at the time of the passing of risk (“Sachmangel”, hereinafter referred to as
“Defect”). Software shall be deemed free of Defects if it complies in all major respects with the agreed
specifications at the time of the passing of risk. If subsequent performance is unsuccessful the partner shall be
entitled to cancel the respective order or reduce the remuneration.
Limitation period. Claims based on Defects are subject to a limitation period of 12 months. This period
commences at the time the relevant contract item is delivered by the Reseller to the end customer, but no later
than 2 months after the passing of risk as between Unify and the Distributor. This provision shall not apply where
longer periods are prescribed by law according to Sec. 438 para. 1 No. 2 (buildings and things used for a building), Sec. 479 para. 1 (right of recourse), and Sec. 634a para. 1 No. 2 (defects of a building) German Civil Code("BGB"), as well as in cases of injury of life, body or health, or where Unify intentionally or grossly negligently fails to fulfil its obligation or fraudulently conceals a Defect. The legal provisions regarding suspension of expiration ("Ablaufhemmung"), suspension ("Hemmung") and recommencement of limitation periods remain unaffected.
Notification of Defects. Notifications of Defects have to be made via the Partner Portal. Partner shall supply all
the documentation and information required for rectifying software errors to Unify. It must be possible to reproduce software errors.
Return of DoA items. Any contractual item showing a defect in materials or workmanship, or otherwise failing to
operate in accordance with the specification, upon or within the first twenty-four (24) hours after initial operation in
the end customer’s network, will be considered “Dead on Arrival” (DoA), provided that no more than 2 months
have elapsed between the date of shipment from Unify and the date of the initial operation. Partner shall return
such items in accordance with the stipulations for DoA items in the Partner Portal.
Costs triggered by unjustified notifications. In the event of unjustified notifications of a Defect, Partner shall reimburse to Unify all expenses incurred by Unify.
Exclusions of claims. Claims based on Defects shall be excluded in cases of insignificant deviations from the
agreed quality, only minor impairment of usefulness, natural wear and tear or damage arising after the transfer of
risk from faulty or negligent handling, excessive strain, unsuitable equipment, or from special conditions deviating
from normal conditions of usage, or from non-reproducible software errors. The same applies when software is not used in accordance with the applicable installation requirements or not in accordance with the appropriate
conditions of usage. Claims based on defects attributable to improper modifications or repair work carried out by
Partner or third parties and the consequences thereof shall be likewise excluded.
Additional costs triggered by change of location of defective item. Partner shall have no claim with respect to expenses incurred in the course of supplementary performance, including costs of travel and transport, labour, and material, to the extent that expenses are increased because a defective item was brought to another location than the delivery site agreed to in the respective individual order, unless such change of location complies with intended use of the deliveries.
Expenses. Claims for damages and claims for reimbursement of expenses (hereinafter together referred to as
claims for damages) based on a defect are excluded. This shall not apply where Unify fraudulently conceals a
defect, breaches a guarantee for the condition of the goods (“Beschaffenheitsgarantie”) or intentionally or grossly
negligently fails to fulfil its obligation as well as in cases of injury of life, body or health. Any other claims or any
such claims exceeding the claims provided in this Section 14 of the partner, no matter for what legal ground, is excluded. The above provisions do not imply a change in the burden of proof to the Partner’s detriment.

14. Industrial property rights and copyrights; defect in title
Third party claims for infringement of IPR. Unless otherwise agreed, Unify shall provide the Contractual
Products free from industrial property rights and copyrights of third parties (hereinafter referred to as "IPR") with
respect to the country of the place of destination. If a third party asserts a justified claim against the Partner based
on an infringement of an IPR with respect to the Contractual Products made by Unify and then used in conformity
with the contract, Unify shall be liable to the partner within the time period stipulated in Section 13 as follows:
Unify shall choose whether to acquire, at its own expense, the right to use the IPR with respect to the
Contractual Products concerned or whether to modify them such that they no longer infringe the IPR or
replace them. If this would be unreasonable to demand from Unify, the partner shall be entitled to enforce
his legal rights of withdrawal or reduction.
The above obligations of Unify shall only apply if the Partner (i) immediately notifies Unify of any such
claim asserted by the third party in writing, (ii) does not concede the existence of an infringement, and (iii)
leaves any protective measures and settlement negotiations to the discretion of Unify. If the Partner stops
the usage of the Contractual Products in order to reduce the damage or for other good reason, he shall
be obliged to point out to the third party that no acknowledgement of the alleged infringement may be
inferred from the fact that the use has been stopped.
Exclusion of liability. Claims of the Partner shall be excluded if he or the end customer is responsible
for the infringement of an IPR. Claims of the Partner shall also be excluded if the infringement of the IPR is caused by specifications made by the Partner, by a type of use not foreseeable by Unify or by the Contractual Products being modified by the partner or being used together with products not provided by Unify.
Other defects in title. Where other defects in title occur, clause 13 shall apply mutatis mutandis.
Limitation of liability. Partner’s claims for damages based on an infringement of an IPR or a defect in title are
excluded. This shall not apply where Unify fraudulently conceals a defect, breaches a guarantee for the condition
of the goods or intentionally or grossly negligently fails to fulfil its obligation as well as in cases of injury of life,
body or health. Any other claims or any such claims exceeding the claims provided in this section 14 of the
Partner, no matter for what legal reason, are excluded. The above provisions do not imply a change in the burden
of proof to the detriment of the Partner.
